What are the annual ROC filings for a private limited company?

A private limited company generally files its financial statements in Form AOC-4 and its annual return in Form MGT-7 or MGT-7A each year. Form ADT-1 is filed when an auditor is appointed or reappointed, and directors complete their DIR-3 KYC when it falls due. Depending on the company, other forms may also apply, such as those for deposits or changes made during the year.

What is the due date for AOC-4 and MGT-7?

AOC-4 is due within 30 days of the annual general meeting, and MGT-7 or MGT-7A is due within 60 days of the AGM. The AGM itself must usually be held within six months of the end of the financial year. Because both deadlines run from the AGM date, it helps to plan the audit and the meeting early in the year.

What happens if annual returns are not filed on time?

Late filing attracts an additional fee for each day of delay, which can add up quickly over months. Continued non-filing can lead to penalties on the company and its officers. If returns are not filed for three consecutive financial years, the directors can be disqualified from being directors in any company. The ROC can also start action to strike the company off.

Do I need to file annual returns if my company had no business?

Yes. Annual filings are required even if the company had no revenue or activity during the year. A dormant or inactive company still needs audited accounts and must file its returns, unless it has obtained dormant status or applied for closure. If you no longer plan to run the company, a formal strike-off may be the cleaner option.

Does this service include the statutory audit?

No. The statutory audit must be done by an independent chartered accountant appointed as the company's auditor. This service covers preparing and filing the ROC forms based on the audited accounts. We coordinate with your auditor, and if you do not yet have one, we can help with the appointment process so the audit can be scheduled.
