Business Setup: common questions
How many directors and shareholders does a private limited company need?
A private limited company needs at least two directors and at least two shareholders. The same people can hold both roles. The company can have up to 200 members. Under Section 149(3) of the Companies Act, 2013, at least one director must be resident in India. Foreign nationals and NRIs can be directors or shareholders, subject to the applicable rules.
Who can register a One Person Company?
An OPC can be formed by one member who must be a natural person and an Indian citizen. A company or LLP cannot be the member of an OPC. The member also names a nominee, who must likewise be a natural person and an Indian citizen. The nominee becomes the member if the original member dies or becomes incapable of contracting.
How many partners are needed to register an LLP?
An LLP needs at least two designated partners, and at least one of them must be resident in India. Designated partners are responsible for the LLP's legal compliance. There is no upper limit on the total number of partners. A company or another LLP can also be a partner, acting through a nominated individual.
Is it mandatory to register a partnership firm?
No, registration is not compulsory under the Indian Partnership Act, 1932. However, Section 69 restricts an unregistered firm from suing third parties to enforce contract rights, and partners of an unregistered firm face similar limits. For this reason most firms choose to register. A firm can register at the start or later while it is operating.
