Who can be appointed as a director of a company?
Any individual who is not disqualified under the Companies Act, 2013 can be appointed as a director. The person must hold a Director Identification Number and give written consent to act. A body corporate cannot be a director. Every company must also have at least one director who has stayed in India for the period specified in the Act during the financial year.
What is the time limit for filing DIR-12?
Form DIR-12 should generally be filed within 30 days of the director's appointment. Filing after this period is still possible but attracts an additional fee that increases with the delay. To keep things simple, it helps to plan the board meeting and gather the director's documents before the appointment date.
Does the new director need a DIN and digital signature?
Yes. A director must have a DIN before appointment. If the person does not already have one, it can usually be applied for through the appointment form itself, subject to MCA rules. The director will also need a digital signature certificate to sign MCA forms. We will tell you what is required before we start drafting.
Can an additional director be appointed by the board alone?
If the articles of association allow it, the board can appoint an additional director, who holds office until the next annual general meeting. To continue after that, the shareholders must regularise the appointment at the AGM. Some other categories, such as certain independent directors, have specific approval requirements that we explain for your case.
