An LLP that has stopped doing business still has to file its annual statement of accounts and annual return every year. Over time, these costs and the risk of late fees add up. If the partners have decided to end the business, closing the LLP formally removes it from the register and ends these obligations. For inactive LLPs, the application to strike off the name is made to the Registrar in Form 24.

When can an LLP apply for closure through Form 24?
An LLP can generally apply to have its name struck off if it has not carried on business for the period specified in the rules, has no assets or liabilities, and has the consent of its partners. Its pending annual filings should usually be completed first. We check these conditions before preparing the application.
Do pending Form 8 and Form 11 filings need to be completed first?
In most cases, yes. The Registrar generally expects the LLP to have filed its statement of accounts and annual return up to the date it stopped business. If filings are pending, completing them before applying for closure helps avoid rejection. This plan assumes those filings are in order.
What documents are needed to close an LLP?
You will typically need a statement of accounts showing no assets or liabilities, certified by a chartered accountant, affidavits and an indemnity bond from the designated partners, the partners' consent, and proof that the bank account has been closed. The designated partners will also need valid digital signatures to sign the form.
How much does it cost to close an LLP?
