A sole proprietorship is the simplest way to start a business in India. One person owns and runs it, keeps all the profits and makes every decision. There is no separate legal entity and no single registration certificate. Instead, the business builds its identity through registrations such as GST, Udyam and a local shop and establishment licence. These documents let you open a current account in the business name and work with clients.

Vibence helps you choose the right set of registrations for your activity and location, and handles the applications through qualified professionals from the Vibence partner network. We look at your turnover, the kind of goods or services you sell and your state rules. That way you get what you actually need, and nothing you don't. When the business grows, we can help you move to an OPC or private limited company.

Sole Proprietorship Registration: FAQs

Is there a single registration for a sole proprietorship?

No. Indian law does not provide one registration certificate for a sole proprietorship. The business proves its existence through registrations linked to its activity, such as GST, Udyam and a shop and establishment licence. Banks usually ask for two such documents in the business name before opening a current account. We help you pick the right combination.

Do I need GST registration as a sole proprietor?

GST registration becomes mandatory once your turnover crosses the threshold that applies to your state and type of supply. It is also required in certain cases regardless of turnover, such as some interstate supplies or selling through e-commerce operators. Many proprietors register voluntarily to claim input tax credit or to work with larger clients.

Can a proprietorship be in a name different from my own?

Yes. You can trade under a business name of your choice, provided it does not infringe someone else's trademark. That name appears on your GST and other registrations. However, the business and you remain the same legal person, so contracts and liabilities are ultimately yours. You may also want to protect the name with a trademark.

What are the drawbacks of a sole proprietorship?

The main drawback is unlimited personal liability, because the business and the owner are legally the same. It can also be harder to raise investment or bring in partners. The business does not continue automatically if the owner is unable to run it. Many owners start as proprietors and later convert to an OPC or private limited company.

How is a sole proprietorship taxed?

Business income is taxed as part of the proprietor's personal income, at the individual slab rates that apply. The proprietor files one income tax return that includes the business income. Depending on turnover, books of accounts and a tax audit may be required. GST, TDS and professional tax obligations depend on your registrations and state.
