What is the process for changing a company name?
First, the new name is reserved through the RUN service on the MCA portal. Next, the board approves the change and the shareholders pass a special resolution, which is filed in Form MGT-14. The company then applies in Form INC-24. Once approved, the ROC issues a new certificate of incorporation with the new name.
Will my company's CIN, PAN or bank account change?
No. The company remains the same legal entity, so its corporate identity number and PAN stay the same, though you should update the name linked to the PAN. Bank accounts, GST registration and other records also need updating with the new certificate. Existing contracts and legal proceedings are not affected.
Why might a proposed name be rejected?
The ROC may reject a name that is identical or too similar to an existing company or LLP, conflicts with a registered trademark, includes restricted words without approval, or is otherwise undesirable under the naming rules. Suggesting more than one option and checking trademarks in advance improves the chances of approval, though approval is never assured.
Can a company change its name at any time?
Generally yes, as long as the company is compliant. The ROC may not allow a name change if the company has not filed its annual returns or has defaulted on certain obligations such as repaying deposits. Bringing pending filings up to date before applying avoids delays.
What should I update after the name change?
After receiving the new certificate, update your PAN, TAN, GST registration, bank accounts, licences, letterheads, website, invoices and contracts. For a period, it is good practice to mention the former name alongside the new one on official documents so customers and authorities can connect the two.
