Every company must have a statutory auditor, a practising chartered accountant or firm who audits its annual financial statements. The first auditor is appointed by the board within 30 days of incorporation. Later, the shareholders appoint an auditor at the annual general meeting, usually for a term of five years. The company then informs the Registrar of Companies through Form ADT-1.

When must the first auditor be appointed?
The board of directors must appoint the first auditor within 30 days of the company's incorporation. If the board fails to do so, it must inform the shareholders, who then appoint the auditor at a general meeting within the time set by the law. The first auditor holds office until the end of the first annual general meeting.
For how long is an auditor appointed at the AGM?
At the first annual general meeting, the shareholders appoint an auditor to hold office from the end of that meeting until the end of the sixth AGM, which is effectively a five-year term. Rotation limits apply to certain classes of companies, restricting how many consecutive terms an individual or firm can serve.
What is Form ADT-1 and when is it filed?
Form ADT-1 is the notice to the Registrar of Companies about the appointment of an auditor. It is generally filed within 15 days of the meeting at which the auditor was appointed. Filing late attracts an additional fee based on the length of the delay, so it is sensible to file soon after the meeting.
Can any chartered accountant be appointed as auditor?
The auditor must be a practising chartered accountant or a firm of chartered accountants, and must not be disqualified under the Companies Act, 2013. Disqualifications include holding certain financial interests in the company or being related to its directors or key employees. The auditor confirms eligibility in a written certificate.
