Certain companies must file their financial statements with the Registrar of Companies in XBRL format rather than as a simple PDF. XBRL is a machine-readable reporting language that lets regulators analyse company data consistently. The requirement generally applies to listed companies and their Indian subsidiaries, and to companies whose paid-up capital or turnover crosses the thresholds set by the MCA, as well as certain other notified classes.

Preparing an XBRL file is detailed work. Every figure and disclosure in the audited financial statements must be tagged to the correct element of the taxonomy and checked before filing. Qualified professionals from the Vibence partner network convert your audited accounts into XBRL, run validation tests and prepare the AOC-4 XBRL filing. You review a readable version of the output before anything is submitted.

XBRL Filing of Financial Statements: FAQs

Which companies must file financial statements in XBRL?

XBRL filing generally applies to companies listed on a stock exchange in India and their Indian subsidiaries, companies whose paid-up capital or turnover exceeds the thresholds set by the MCA, and companies required to prepare financial statements under Ind AS. Banking, insurance and certain other classes of companies are excluded. We confirm applicability against the current rules.

What is the due date for XBRL filing?

Financial statements in XBRL are filed through Form AOC-4 XBRL, which has the same deadline as regular AOC-4: within 30 days of the annual general meeting. Because XBRL preparation takes longer, it helps to finalise the audited accounts early and allow time for tagging and validation.

What happens if XBRL filing is done incorrectly?

Errors in tagging or validation can lead to the form being rejected or marked for resubmission. Incorrect data on the public record may also raise questions from regulators or lenders. Careful tagging, validation and a review of the readable output before filing reduce these risks.

Can a company file in XBRL if it is not required to?

Companies that are not covered by the XBRL rules generally file AOC-4 with PDF attachments instead. If you are close to the thresholds, it is worth checking applicability every year before filing, since crossing them in a financial year can bring the company within the XBRL requirement.

Does XBRL filing replace the statutory audit?

No. XBRL is only a format for filing the financial statements after they have been audited and approved. The audit itself is carried out by your independent statutory auditor. XBRL tagging must match the audited figures exactly, so we work from the final signed accounts.
