What is the time limit for filing INC-22 after a change of address?
Form INC-22 should generally be filed within 30 days of the change in the registered office. Filing late attracts an additional fee. For moves that need Regional Director approval, the address change takes effect only after that approval, and the filing timelines follow from it.
Do I need shareholder approval to change the registered office?
A move within the same city or local limits usually needs only a board resolution. Moving outside the local limits generally requires a special resolution of the shareholders. Moving to another state also needs approval from the Regional Director because the memorandum must be altered. We confirm the approvals for your case.
Why does an inter-state move take longer?
When a company moves to another state, the situation clause in its memorandum changes. This requires a special resolution, a public notice, intimation to creditors and other stakeholders, and an application to the Regional Director. Objections, if any, must be dealt with. After approval, the ROC records the change, so the overall time depends on government processing.
What documents prove the new office address?
You will typically need a recent utility bill such as electricity, gas or telephone, not older than a couple of months, along with a rent agreement or proof of ownership. If the premises are owned by someone else, a no-objection certificate from the owner is also required. The documents should show the full address.
What else must I update after changing the registered office?
After the ROC records the change, update the address on your GST registration, bank accounts, PAN and TAN records, letterheads, website and invoices. Licences such as shop and establishment registration may also need changes. Keeping every record consistent avoids notices going to an old address.
