What is a Section 8 company?

A Section 8 company is a company that receives a licence under Section 8 of the Companies Act, 2013 to pursue charitable or socially useful objects. It must apply its income and profits only to promoting those objects, and it cannot pay dividends to its members. Its members still enjoy limited liability, and the company is regulated by the MCA like other companies.

How many directors and members are needed?

A private Section 8 company needs at least two directors and two members, while a public one needs at least three directors and seven members. At least one director must be resident in India. Directors are generally not paid for acting as directors, though reasonable payment for actual services or expenses may be allowed under the rules.

Can a Section 8 company pay dividends or distribute profits?

No. A Section 8 company must use all its income and any surplus only to promote its stated objects. It cannot pay dividends or distribute profits to its members in any form. If the company is wound up, remaining assets are generally transferred to another organisation with similar objects rather than shared among members.

How is a Section 8 company different from a trust or society?

A Section 8 company is governed by the Companies Act and regulated by the MCA, which brings stricter compliance and strong credibility. Trusts and societies are governed by separate laws and often state rules, with simpler compliance.
